J. Seth Metcalf focuses his practice on US federal and state tax matters.

Mr. Metcalf has experience in US, foreign-to-foreign and cross-border mergers, acquisitions and reorganizations including tax-free reorganizations, section 338(h)(10) elections and the use of disregarded entities. He is experienced with employment taxes in cross-border employment leasing and transfers including foreign tax credits, totalization of Social Security benefits and applicability of federal income, unemployment and social security taxes. He also analyzes tax issues in US and cross-border transactions involving sales and leasing.

Mr. Metcalf structures transactions for the syndication of federal and state tax credits, specifically low-income housing, historic rehabilitation and new markets tax credits. He is also adept at state sales tax and the use of tax analysis. Mr. Metcalf advocates for clients before the Internal Revenue Service and state tax authorities on tax controversies, inadvertent S corporation election terminations, extensions of time to make elections and other “9100” relief.

Mr. Metcalf is a member of the American, Ohio, Cleveland and Columbus Bar Associations.
